Terms of Service

These Terms of Service ("Terms") govern your use of the novaverb platform at novaverb.com (the "Service") operated by novaverb ("we", "us"). By creating an account or otherwise using the Service, you accept these Terms. If you do not accept, you may not use the Service.

1. Acceptance of Terms

You confirm that you are at least 18 years old or have reached the age of majority in your jurisdiction. If you accept these Terms on behalf of a company or other legal entity, you represent that you have authority to bind that entity, and "you" refers to the entity.

2. Description of Service

novaverb is a SaaS platform for SEO/AEO/GEO analytics, content auditing, AI-assisted content generation, and search/AI citation tracking. Specific features available depend on your subscription plan. We may add, modify, or retire features over time.

3. Account Registration

• You must provide accurate, current, complete information during registration
• You are responsible for safeguarding your password
• You must notify us immediately of any unauthorized account access
• One account per legal person — sharing accounts violates these Terms
• We may suspend or terminate accounts with inaccurate or fraudulent registration data

4. Acceptable Use Policy (AUP)

You may not use the Service to:

• Violate any applicable law, regulation, or third-party right
• Crawl, audit, or analyze websites you do not own or have explicit permission to analyze (see Domain Verification below)
• Send spam, phishing, or unsolicited messages of any kind
• Generate content that is illegal, defamatory, harassing, infringing, or harmful to minors
• Reverse-engineer, decompile, or attempt to extract the Service's source code (beyond what is licensed open-source)
• Interfere with or disrupt the Service or any servers/networks connected to it
• Circumvent any access restrictions, rate limits, or quota enforcement
• Resell, sublicense, or white-label the Service without an explicit written agreement

We may suspend, throttle, or terminate access at our sole discretion if we determine an account has violated this AUP.

5. Subscription & Billing

5.1 Plans

The Service is offered on free and paid subscription plans. Plan pricing, features, and quotas are described at novaverb.com/p/pricing and may change with 30 days' notice for existing paid customers.

5.2 Billing

Paid plans are billed in advance — monthly or annually depending on your selection. By providing payment information you authorize us (and our payment processors) to charge the subscription fee on each renewal until you cancel.

5.3 Refunds

Subscription fees are non-refundable except where required by law. Pro-rata refunds may be granted at our discretion for service outages exceeding 24 hours or material billing errors. Credits granted under our refund policy expire 12 months after issue.

5.4 Cancellation

You may cancel anytime from Account → Subscription. Cancellation takes effect at the end of the current billing period; we do not pro-rate cancellations.

5.5 Taxes

Prices displayed exclude applicable taxes (VAT, GST, sales tax). Where novaverb is required to collect tax, it will be added to your invoice. For Vietnamese customers, VAT is computed per the prevailing rate (10% as of 2026).

6. Domain Verification

Before novaverb crawls or audits a domain registered to a workspace, you must prove ownership via the domain verification flow (HTTP file upload or DNS TXT record). We do not crawl or audit unverified domains.

You represent and warrant that you have the right to authorize crawling and analysis of any domain you verify. If you misrepresent ownership (verify a domain you do not control), we may suspend your account immediately and report to relevant authorities.

7. Crawling & Rate Limits

Our crawler identifies as NovaverbBot and respects robots.txt per RFC 9309. Default crawl rate is one request per second per host, configurable down to slower rates per project. We do not exceed 50,000 URLs in any single audit run.

If you observe crawler behavior you believe is incorrect, contact contact@novaverb.com; we will investigate within 24 hours.

8. AI-Generated Content

Content generated by novaverb's AI features (briefs, rewrites, drafts, citation analysis) is produced by third-party large-language-model providers (OpenAI, Anthropic, Google) and is provided "as is" without warranty of accuracy, originality, or fitness for purpose. You acknowledge that:

• AI outputs may contain errors, hallucinations, or fabricated citations
• AI outputs do not constitute professional advice (legal, medical, financial, etc.)
• You are responsible for reviewing, fact-checking, and editing AI outputs before publishing
• AI outputs may inadvertently resemble copyrighted work; you are responsible for ensuring your published use complies with copyright law
• novaverb does not claim ownership of AI outputs; you own the outputs you generate, subject to the underlying provider's terms

9. Intellectual Property

9.1 Service IP

novaverb, the novaverb logo, and the underlying software, design, and trade dress are owned by us and protected by copyright, trademark, and other intellectual-property laws. The Terms grant you a limited, revocable, non-exclusive, non-transferable license to use the Service in accordance with these Terms.

9.2 Your Content

You retain ownership of all content you upload, generate, or store in the Service ("Your Content"). By using the Service, you grant novaverb a worldwide, non-exclusive, royalty-free license to host, process, transmit, and display Your Content solely to provide the Service. This license terminates when you delete Your Content or close your account.

9.3 Feedback

If you send us suggestions, ideas, or feature requests, you grant us a perpetual, irrevocable, royalty-free license to use them without obligation or compensation.

10. Third-Party Services

The Service integrates with optional third-party services: Google Search Console, Google Analytics 4, Google Indexing API, OpenAI, Anthropic, Google Gemini, payment processors (Stripe, MoMo, PayPal), email providers (Resend, SES, SMTP). Your use of those services is governed by their own terms. novaverb is not liable for third-party service availability, accuracy, or policies.

11. Termination

You may terminate by closing your account. We may terminate or suspend your access immediately, without prior notice, if you:

• Violate these Terms, the AUP, or applicable law
• Have your payment method fail and fail to update it within 14 days
• Engage in fraudulent, abusive, or illegal activity
• Have not used the Service for 12+ consecutive months (free accounts only)

Upon termination, your right to use the Service ceases immediately. We will retain Your Content for 30 days post-termination to allow recovery on appeal; thereafter Your Content is permanently deleted. Sections that by their nature should survive termination (IP, Disclaimers, Limitation of Liability, Governing Law) survive.

12. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR ACCURACY OF DATA. WE DO NOT GUARANTEE THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.

SEO data displayed by the Service (Domain Rating, organic traffic, keyword positions, etc.) is provided as a directional estimate from Google APIs and our internal analysis. We do not guarantee parity with any other SEO tool. SEO outcomes depend on factors outside our control; we do not guarantee rankings, traffic, or business results.

13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, novaverb AND ITS AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, GOODWILL, OR OTHER INTANGIBLES, EVEN IF ADVISED OF THE POSSIBILITY. OUR AGGREGATE LIABILITY FOR ANY CLAIM ARISING OUT OF THE SERVICE IS LIMITED TO THE AMOUNT YOU PAID novaverb IN THE 12 MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

Some jurisdictions do not allow exclusion of certain warranties or limitation of liability; in those jurisdictions, our liability is limited to the maximum extent permitted.

14. Indemnification

You agree to indemnify, defend, and hold harmless novaverb from any claim or demand (including reasonable attorney fees) made by a third party arising from: (a) Your Content; (b) your use of the Service; (c) your violation of these Terms; (d) your violation of any third-party right, including IP, privacy, or publicity rights.

15. Governing Law & Disputes

These Terms are governed by the laws of the Socialist Republic of Vietnam, without regard to conflict-of-laws principles. Any dispute arising from or relating to these Terms or the Service shall be resolved by binding arbitration in Ho Chi Minh City, Vietnam, under the rules of the Vietnam International Arbitration Centre (VIAC). For disputes under $10,000 USD equivalent, either party may instead bring suit in small-claims court.

Class actions, class arbitrations, and consolidated proceedings are not permitted unless required by applicable law.

16. Changes to These Terms

We may modify these Terms at any time. Material changes will be announced via email and a banner on the Service for 30 days. Continued use of the Service after the effective date of changes constitutes your acceptance.

17. Entire Agreement

These Terms, together with the Privacy Policy and any plan-specific addenda, constitute the entire agreement between you and novaverb concerning the Service. Headings are for reference only. If any provision is held invalid, the remaining provisions shall remain in effect.
